Brunei Rugby Football Union Constitution

1. Name

The Name of the Society shall be ‘Kesatuan Ragbi Brunei Darussalam’ / ‘Brunei Rugby Football Union’ (BRFU) and shall hereinafter referred as the ‘Union’

2. Registered Place of Business

2.1. The registered place of business shall be at Kesatuan Ragbi Brunei Darussalam, #41, 4th Floor, Britannia House, Jalan Cator BS8811

Bandar Seri Begawan, Negara Brunei Darussalam.

2.2. The registered place of business shall not be changed without the prior approval of the Register Registrar of Societies of Society (RoS).

3. Definition

As used herein, the terms set forth below shall be defined as follows

3.1. Union shall mean the ‘Kesatuan Ragbi Brunei Darussalam’ / ‘Brunei Rugby Football Union’. (BRFU)

3.2. Annual General Meeting (AGM) shall mean yearly meeting as prescribed in Article 8.

3.3. The Council shall mean the Council elected during the AGM as mentioned in Article 11.1

3.4. The Board shall mean the Working Committee appointed by the Council as mentioned in Article 11.1.3

3.5. Rugby Football Union (hereinafter shall referred as the game’) shall mean the game governed by International Rugby Board (IRB)

3.6. Registrar of Societies shall mean the Registrar of Society Societies, appointed under the Brunei Society Act. (Chapter 66, Law of Brunei)

4. Flag and Emblem

The flag of the Union shall be the flag of Negara Brunei Darussalam and the Emblem of the union shall be represented with two (2) Malay daggers (Keris) pointing upwards with a Yellow rugby ball with black and white stripes in between with Brunei Rugby Football Union in red and Kesatuan Ragbi Brunei Darussalam in yellow writing underneath.

5. Aims and objectives

5.1. The Aims and Objectives of the union shall be:-

5.1.1. To be the effective governing body, to promote, develop and encourage the game of rugby union in Negara Brunei Darussalam.

5.1.2. To control and exercise jurisdiction over all aspects of the game played in Negara Brunei Darussalam

5.1.3. To encourage and promote the game at all levels by arranging domestic and international matches, tournaments and tours, to participate in international and regional championships and to assist union members / schools in running rugby tournaments and all other sports pertaining to the benefit of rugby football union.

5.1.4. To collect funds and acquire such immovable property for the sole purpose of promoting the game of rugby football union

5.1.5. To plan, arrange and assist in all efforts to develop the game of rugby union with regard to playing skills, proficiency in refereeing, coaching and administration and to develop spectator interest at all levels.

5.1.6. To be affiliated to regional and international bodies those that currently control the game of rugby football union.

5.1.7. To ensure that all activities are in agreement with this constitution and to ensure that, at all times these rules are observed and abided.

5.2. Provided at all times that the activities of the union are carried out without discrimination as to sex, race, colour, religion, social origin, language, dialect, political inclination or any other opinion held by the members and that the selection procedures for players, officials, coaches and any other person to represent BRFU is open and fair.

6. Membership

6.1. The member of the union shall be divided into three categories:-

6.1.1. Honorary Members

6.1.1.1. The Past President of the Union shall not be an ordinary member but shall be entitled to such rights and privileges of an Honorary Member, where the Council will review the membership from time to time if necessary.

6.1.1.2. The Council shall have the power to recognize any individuals whose service to the union and/or who shall in its opinion merit such recognition as an Honorary Member of the Union, where the Council will review the membership from time to time if necessary. .

6.1.2. Ordinary Member

6.1.2.1. Any Rugby Union Club (hereinafter will be referred as Rugby Club) registered with the Union.

6.1.2.2. Any Association with regards to the game of Rugby Union (herein will be referred as Associations) registered with the Registrar of Societies of Negara Brunei Darussalam.

6.1.2.3. Any Government Sports Clubs / Departments (hereinafter will be known as Government Club) that is promoting the game of rugby union within the members of the Government Club registered with the Union.

6.1.3. Affiliate Member

6.1.3.1. Any International or local Clubs, organizations, sponsors or individuals shall be eligible for membership as an affiliate member subject to the application for membership being approved by the Council.

6.2. The annual fee for Ordinary Membership shall be the sum of BND50 payable before 31st March every year.

6.3. The admission as Members of the Union shall be under the control and with the approval of the Council, which shall from time to time determine the criteria and conditions applicable for the approval of membership. Provided always that no individual, companies, Rugby Clubs, Association and Government Club who is an un-discharged bankrupt or who has been convicted in Negara Brunei Darussalam and elsewhere for an criminal offence, dishonesty and/or fraud shall be admitted as a Member of the Union or the Council.

6.4. The Council shall process the application for membership within two (2) months of the receipt of the application. All decisions concerning such application shall be reduced into writing and records kept.

6.5. Any Clubs, Association and Government Clubs shall :-

6.5.1. Have a minimum of 12 members.

and shall provide the Union with:-

6.5.2. The mailing Address of the Club, Association and Government Club.

6.5.3. The list of current office bearers.

6.6. Any Clubs, Associations and individuals that who are dissatisfied with the rejection of its application for membership shall be entitled to appeal to the President within 14 days from the date of such rejection. The decision of the President on such appeal shall be final and binding.

6.7. The admission of a member to membership shall constitute an undertaking by that the member to be bound by these rules as may be amended from time to time where necessary.

6.8. The member may withdraw from the union at any time giving to the Secretary of the Union written notice of 14 days of the intention to do so provided that the member shall remain liable for all monies then due and owing to the union up to the date it ceased to be a Member.

6.9. The member shall be liable to suspension / termination of its / his / hers membership and / or privileges if the Council sees determine if that:-:

6.9.1. The member has failed to pay its membership by 31st March every year.

6.9.2. The Member does not conform to any reasonable directive by the Council as to its standard play, administration and general conduct.

6.10. A Member shall be liable to termination or suspension of its membership or to other appropriate punishment by the Union for any infringement of the Rules of this Constitution or for any conduct which in the opinion of the Council is prejudicial to the interests of the Union or the game. The Member whose membership is being terminated or suspended shall have the right to appeal to a General Meeting of Members whose decision shall be final and binding.

6.11. Patron

6.11.1.The Council shall have the power to appoint any individuals who has rendered service to the game or the Union to be Patron members of the Union.

7. Rights, Privileges and Obligations of Members

7.1. All Ordinary members shall have the rights to attend, speak and exercise one vote each at general meetings of the Union subject to the rules herein and to hold office in the Union.

7.2. Each Ordinary member shall nominate one representative to attend and vote at all General Meetings. The official appointment must be lodged with the Secretary at least 5 working days prior to the General Meeting.

7.3. All Ordinary members shall have the rights to participate in all the activities of the Union and enjoy such privileges as may be conferred by the Council.

7.4. All Affiliate members shall have rights to attend and speak but has no right to vote in any General meetings. Affiliate members shall not be required to pay any subscription fees.

7.5. All Honorary members and Patron member have the right to attend and speak but have no right to vote in any General meetings. Affiliate members shall not be required to pay any subscription fees.

8. Annual General Meeting (AGM)

8.1. The AGM shall be held at a time and place to be decided by the Council not later than 31st of October each year.

8.2. The Business of AGM shall be (but not limited to):-

8.2.1. Roll-call

8.2.2. Confirmation of previous AGM report.

8.2.3. To receive the report of the Board and to make orders in respect thereof.

8.2.4. To appoint an auditor to review and audit the accounts of the Union.

8.2.5. To approve the balance sheet of the previous financial year.

8.2.6. To consider and approve any new resolutions. For the avoidance of doubt, a special resolution will need 75% of votes of those present and entitled to vote at the meeting.

8.2.7. Each ordinary member, members of the Council and members of the Board are entitled to one voting representative in the General Meeting.

8.2.8. Election of members of the Council and the appointment of the Board will be done biannually, unless there is an Extraordinary General Meeting (EGM) which needs a simple majority of votes of those present and entitled to vote at the meeting to elect a new member of the Council.

8.2.9. Ordinary members shall be entitled to propose that any matter be included in the Agenda of the AGM by advising the Honorary Secretary in writing not less than 10 days prior to the date of the AGM.

8.2.10.The Honorary Secretary shall circulate the final Agenda to each member not less than 5 days prior to the AGM. Save for the aforesaid, no other matter shall be raised at the AGM.

8.2.11.The quorum for the AGM shall be one third of the total number of eligible voting members.

8.2.12.In the event that there is no requisite quorum at the appointed time, the Chairman shall adjourn the AGM to any subsequent day or date set by the council.

8.3. The outgoing committee shall be dissolved immediately after the election of the new committee.

8.4. All voting during AGM and EGM shall be by secret ballot and the election of union officers will be decided by a majority vote.

8.5. Only those who appear in the register of members and have paid the membership fees are entitled to vote.

8.6. The President, or in his absence, the Vice President or the Assistant Vice President shall have the casting vote at all General Meetings.

8.7. Unless otherwise stated, voting by proxy is allowed at all General Meetings. The Chairman of the AGM, whose decision shall be final and binding on all members, shall determine all questions as to the validity of the proxy forms.

9. Extra-Ordinary General Meeting

9.1. The Honorary Secretary shall, at the order of the Council, or at the requisition not less that 75% of the total voting membership, convene an Extra-Ordinary General Meeting (EGM) any time upon giving 14 days notice to all members.

9.2. The Notice shall state the date, time and venue of the EGM

9.3. The requisition of members must specify the contents of the agenda and the resolutions sought and no other business shall be transacted during an EGM.

9.4. All members are entitled to vote during an AGM are entitled to vote during the EGM. All rules herein concerning quorum and manner of voting at the AGM shall also apply to the EGM.

10. Nomination of Council Members

10.1. Nomination for election shall be made in writing in the prescribed form determined by the Council and shall be duly proposed and seconded by affiliate members and with the consent of the candidates to the Honorary Secretary not later than 7 days before the date fixed for the General Meeting.

10.2. Upon receiving the nomination forms the Council shall determine the eligibility of the nomination papers and candidates.

10.3. In the event that a nomination is rejected, the Honorary Secretary shall notify the affected party of the Council’s decision and the reason thereof within 14 days of the decision.

11. Council Members and The members of the Board

11.1. The Council

11.1.1.The Council shall be elected once every 2 (two) years at the AGM which will consist of :-

11.1.1.1. The President

11.1.1.2. Vice President

11.1.1.3. Assistant Vice President

11.1.1.4. The Honorary Secretary

11.1.1.5. The Honorary Treasurer

11.2. 3 Heads of Boards shall be appointed by the Council not later than 30 (thirty) days after the election of the Council members.

11.2.1.The 3 Heads of Boards will consist of:-

11.2.1.1. Head of Administration and Finance

11.2.1.2. Head of Referee Board

11.2.1.3. Head of Games Development

11.3. Ex-Officio

11.3.1.The Council shall invite 3 Ex-Officio members to be members of the Council within 60 days after the election of the Council. These Ex-officio member s shall be :-

11.3.1.1. A representative from Ministry of Education

11.3.1.2. A representative from Ministry of Culture Youth and Sports

11.3.1.3. A representative of Olympic Council of Brunei

11.3.2.Members of the Council, Heads of the Boards and Ex-officio members are entitled to attend and speak during any general meeting but only the members of the Council and Heads of the Boards are entitled to vote during any General Meetings.

11.3.3.The nomination of Members of the Council shall be as per Article 10 and election shall be by a simple majority vote.

11.3.4.Any Members can nominate a nominee for Head of a Board selection. However, the selection of the Head of the Board is the prerogative of the members of the Council, as such; the Council shall not give any reason to the Members if their nominee is rejected.

12. Functions and Powers of the Council and the Board

12.1. The Council and the Board shall meet at least once every 8 weeks.

12.2. The President acting alone or not less than 3 Council members acting together may call for a meeting of the Council and / or a Board at any time.

12.3. Quorum of a Council or Board meeting shall be half of the total members of the Council or The Board

12.4. Any member of the Council or The Board, who fails to attend 3 consecutive meetings of the Council or The Board without any satisfactory reason and / or is convicted in the courts of law in Brunei and/or abroad, shall automatically cease to be a member of the Council and / or The Board.

12.5. In the event of a vacancy arising from any cause in the Council and The Board, the Council shall have the power to appoint an individual to fill in such vacancy until the next AGM or EGM.

12.6. Minutes of the Council and The Board meetings should be circulated among the members of the Union.

12.7. Games Development Board

Director / Chairman: Assistant Vice President

12.7.1.Members:

12.7.1.1. Head of Coaching

12.7.1.2. Director of Development

12.7.1.3. Director of Tournaments

12.7.1.4. Director of International Relationship

12.7.1.5. Ex-officio from the CCA department

12.7.1.6. Ex-officio from JBS

12.7.2.Duties:

12.7.2.1. The board shall recruit and retain coaches for the Union

12.7.2.2. The Board shall coordinate the coaches among the teams playing in Brunei Senior / Junior / School teams.

12.7.2.3. The Board shall organize coaching courses and the board shall recommend to the council any person to attend any coaching courses, locally or internationally.

12.7.2.4. The Board shall liaise with the CCA department at district and national level. It shall also obtain cooperation from various schools.

12.7.2.5. The Board shall be responsible for developing the game of rugby in schools.

12.7.2.6. The Board shall be responsible for establishing rugby clubs in schools.

12.7.2.7. The Board shall be responsible for establishing the ‘Playing-path’ for (delete these) school rugby players.

12.7.2.8. The Board shall be responsible in promoting the establishments of other rugby clubs in the Nation.

12.7.2.9. The Board shall be responsible for the establishment of all rugby competitions in the Brunei Darussalam

12.7.2.10. The Board shall be responsible for the scheduling of competitions in the country.

12.7.2.11. The Board shall be recommending to the Council the competitions that the Union shall attend overseas.

12.7.2.12. The Board shall be in charge of all international Liaisons in respect of Union’s activities and participation of international tournaments approved by the Council.

12.7.2.13. The Board shall be responsible for all liaison with other international bodies on all matters relating to the Union and such bodies in respect of incoming tours and visits by other overseas Clubs and National teams, meetings, etc. The Board shall also assist the union’s affiliation and ties with other overseas rugby bodies.

12.7.2.14. The board shall be responsible for the final selection of players, coaching staffs, referees and team management who will be representing Negara Brunei Darussalam in any tournament or test matches which the Council may decide to participate, either locally or internationally

12.7.2.15. General Guidelines for this selection of National Representative shall be laid down by the board from time to time.

12.8. Referee Board

Chaired by: President of BRFU

Head: Director of referees. (Appointed by the Council)

12.8.1.Members of board:

12.8.1.1. 3 other members from Brunei Rugby Referee group

12.8.1.2. 2 other non- referee members appointed by the Council.

12.8.2.Duties:

12.8.2.1. The board shall coordinate match officials’ (1 referee and 2 touch judges) time table for the locally played competitions

12.8.2.2. The board shall recruit, train and retain referees

12.8.2.3. The board shall encourage the recruitment of local referees

12.8.2.4. The board shall organize referee courses for all the referees either domestically or internationally where the board feels needed.

12.9. Administration and Promotion Board

Director / Chairman: Vice President

12.9.1.Members:

12.9.1.1. Head of Finance (Honorary Treasurer)

12.9.1.2. Head of Publicity and Promotion (appointed by the council)

12.9.1.3. 2 members appointed by the Council.

12.9.2.Duties:

12.9.2.1. The Board shall be responsible for corporate ties with sponsors in Brunei Darussalam

12.9.2.2. The Board shall be responsible in other fund raising activities related to the Union.

12.9.2.3. The Board shall be responsible with the sales of Union’s rugby merchandize.

12.9.2.4. The Board shall be responsible in the promotion of the ‘Rugby Branding’ in Brunei Darussalam.

12.9.2.5. The Board shall be responsible for rugby merchandizing in Brunei Darussalam (what about outside Brunei Darussalam?).

12.9.2.6. The Board shall be responsible for marketing, advertising and promotion of rugby games and tournaments of rugby played in Brunei Darussalam.

12.9.2.7. The Board shall be the liaison unit with domestic and international media.

12.9.2.8. The Board shall be responsible for the Union’s website.

12.10. Disciplinary Board

12.10.1. The Disciplinary Board will be selected by the Council from time to time when the council deem necessary.

12.10.2. The Disciplinary board shall be chaired by the highest ranking officer of the council during the meeting of the board.

12.10.3. The Disciplinary Board shall have an odd number of representatives. (a minimum of 3 members and a maximum of 5 members)

12.10.4. The Disciplinary Boards duties are to take necessary action on players and members of the union who has gone against the code of conduct of the Union. (See Article 14)

13. Code of the Conduct.

13.1. The Union expects that all players, members of the Council, members of the Boards and members of the Union to abide by the following rules:-

13.1.1.All members of the Union shall maintain a high standard of moral and ethical conduct, which includes self control, responsible behavior; consideration for the physical and emotional well-being of others, proper manners on the field and in public places where Union sponsored events/games are being held and while traveling to and from such places.

13.1.2.All members shall abstain from the use of illegal drugs and the use of alcohol before, during or after matches, as well as at the Union Sponsor’s place of business, sponsored events or games.

13.1.3.All members shall abstain from obnoxious, impolite or antisocial behavior of any sort that would adversely affect the image of the Union. This includes verbal abuse of players, opponents, officials or supporters during matches or Union sponsored events or games.

13.1.4.All members must respect the local ground rules that are in effect at any particular match, event or game, such as prohibitions against having any alcohol or pubic indecency on the grounds and in public areas.

13.1.5.All members have a responsibility for the behaviour of their supporters while attending Union sponsored events/games.

13.1.6.All members shall respect and play within the Laws & Regulations that govern the sport of rugby, as set forth by the International Rugby Board (IRB), Asian Rugby Football Union (ARFU) and BRFU.

13.1.7.All members have the responsibility to show up on time for games. For practices, players must be kitted up prior to the designated start time. Any deviation from this must be communicated to the Coach and/or Captain prior to the scheduled time.

13.2. Any members in violation of the “Code of Conduct” will have an opportunity to explain his actions to the Disciplinary Board which will then determine the consequence. Consequences will range from a warning, a monetary fine match suspensions or expulsion.

14. Duties of the Council

14.1. The President shall preside at all meetings of the Union, and shall be responsible for the proper conduct of such meetings. He shall have the casting vote.

14.2. The Vice President shall deputize for the President in his absence.

14.3. The Assistant Vice President shall deputize for the President in the absence of both The President and the Vice President.

14.4. Either the Vice President or the Assistant Vice President shall be appointed by the Council to be responsible for Major Projects of the union.

14.5. The Honorary Secretary shall be responsible for all correspondence, for the keeping of all books, data, letters, registration of all members, all documents and papers, except the accounts and financial report. He shall record all proceedings of all General and Council meetings.

14.6. The Honorary Treasurer shall be responsible for the keeping proper accounts and financial papers of the Union and preparing statements of Profit and Loss and the Balance Sheet, which shall be circulated to the Council and Members every year. He shall sign all cheque(s) on behalf of the Union and counter signed by the President or the Vice President. All accounts should be submitted for audit within 90 days from the end of financial year. (31st October).

15. Duties of the Head of Boards

Head of boards who are appointed by the Council for the specific portfolios shall carry out the duties prescribed under their specific directorship.

16. Financial Provisions

16.1. Subject to the following provision in this Article the funds of the Union may be expended for any purpose necessary for carrying out the objectives, the expenses of administration, the payment of salaries, allowances and expenses of its Council, members of the Board, paid staff and members, and audit of its account.

16.1.1.On no account shall the Union’s fund shall be used to pay fines of any member who may be convicted in any court of law.

16.1.2.The Honorary Treasurer may hold petty cash not exceeding BND500 (Brunei Dollar Five Hundred only) at any one time. All money in excess of this sum shall within 7 days of receipt be deposited in the bank (or banks) approved by the Council and the account(s) shall be in the name of the Union.

16.1.3.All cheque(s) shall be countersigned (as per Article 15.6) by members of the Council.

16.1.4.No expenditure exceeding BND10 000 (Brunei Dollar ten thousand only) at any one time without the prior approval of the Council and no expenditure exceeding BND50 000 (Brunei Dollar Fifty thousand only) in any one month shall be incurred without the approval of a General Meeting.

16.1.5.Expenditure below BND2 000 (Brunei Dollar two thousand only) shall be approved by the President, Vice President, Assistant Vice President and the Treasurer.

16.2. Any monetary claims without an official receipt will not be refunded.

17. Audit

17.1. The Union shall appoint a qualified accountant or firm of accountants who are approved under Audit Act (chapter 152 Brunei Law), who shall be required to audit the accounts of the Union for the year and to prepare a report for the General Meeting.

17.2. The Auditor or an internal auditor may also be required by the President or any members of the Council to audit the accounts for any specific period within the tenure of office at any date and to make reports to the Council.

18. Affiliation

The Union, upon approval of General Meeting and acting on the advice of Council, may seek affiliation to any national and international sports or non-sporting confederations or bodies in furtherance of its aims and objectives.

19. Amendment of Constitution

19.1. These articles shall not be altered or amended except by resolution of a General Meeting and prior approval of the Registrar of Societies. Such alteration shall take effect from the date of approval.

19.2. Any amendments agreed upon the General Meeting shall be sent to the Registrar of Societies for approval 30 days of the General Meeting.

20. Dissolution

20.1. The Union may be voluntarily dissolved by a General Meeting Resolution of not less that 75% of total membership.

20.2. In the event that the Union being dissolved, as provided above its debts and liabilities legally incurred shall be fully discharged, and the remaining funds shall be donated to the Government of Negara Brunei Darussalam or to any other institution or organization having objects similar to those of this Union.

20.3. The Registrar of Societies shall be informed of the dissolution of the Union within 14 days of such dissolution
